The agreement, in plain sentences.

Vexo publishes under your name and writes to people on your behalf, so the two sections worth reading twice are the ones about who is the publisher and who is responsible for outbound email. Nothing here is hidden in a schedule.

1.What Vexo is

Software that writes social posts, videos, courses and adverts for your company, publishes them to networks you connect, finds companies worth contacting, and sends and answers email from a mailbox you connect. You keep an account; we keep the software running.

2.Your content is yours

Everything you put into Vexo and everything Vexo writes for you belongs to you. We claim no ownership of it and do not use it to train models. We hold it only to run the service for you.

3.You are the publisher

Vexo drafts; you decide what goes out, and by default nothing is published until somebody approves it. If you switch that off, posts go out automatically and they are still yours. Anything published under your company name is your statement, and you are responsible for it being true, lawful and yours to say.

4.What a model writes is a draft, not a fact

Vexo is built to refuse invented claims — a reply containing a number, price, date, link or name that is not on file is held for a person rather than sent, and a suggested company is dropped unless its domain and website can be checked. Those controls are mechanical and they are not complete. Read what goes out under your name.

5.Accounts you connect

You must be entitled to connect each network, mailbox and calendar you connect, and to publish or send from it. Each of those services has its own terms, and using Vexo does not change them: a network can rate-limit, refuse or remove what you publish, and we cannot overrule that.

6.Outbound email is your responsibility

Vexo will not write to an address it merely guessed, honours an opt-out before doing anything else with a reply, and records the lawful basis it is relying on for each contact. Deciding that you may lawfully write to somebody remains yours — under GDPR, PECR, CAN-SPAM or whatever governs you — as does the accuracy of what you say to them.

7.Advertising is billed to you by the network

Vexo writes adverts and can create a campaign on an ad account you own, but the network bills your own card on your own account. Vexo is never the payer of record, holds no card for advertising and fronts no spend. A budget shown in Vexo is a number we stop the campaign at; it is not a guarantee against what a network charges you.

8.Acceptable use

Do not use Vexo to send unlawful, deceptive or harassing messages, to impersonate a person or organisation you are not, to publish content you have no right to, or to attack the service or anybody else through it. We may suspend a workspace doing any of these, and we will say why.

9.Plans, trials and billing

Every paid plan includes a trial of the length shown when you chose it. You give a card at signup and nothing is charged until the trial ends, at which point the plan you selected is charged automatically on its normal cycle. Cancel before the trial ends and you are not charged. Fees already paid are not refunded for a period already served.

10.Ending it

You can delete your workspace at any time, which removes everything belonging to it. We can end an account for non-payment or for a breach of the acceptable use section above, with notice except where the breach makes notice unreasonable. Posts already published stay on the networks, because they belong to the network once they are sent.

11.What we do not promise

Vexo is provided as it is. We do not promise it will be uninterrupted, that a network will keep working the way it does today, that a post will perform, or that a prospect list will convert. Where the law allows it, our total liability to you for any claim is limited to what you paid us in the twelve months before it arose. [Review: a lawyer should set this limit and confirm it is enforceable where you operate.]

12.Changes

We will update this page when the software changes, and the date at the top will say when. A change that materially reduces what you get will be sent to the email on your account before it takes effect.

13.Governing law

These terms are governed by the laws of the jurisdiction in which TouchBase Technologies is established, and its courts have exclusive jurisdiction. [Review: name the jurisdiction explicitly before relying on this clause.]
